Caribbean Village Governing Documents Review Focus Group

Purpose

The Governing Documents Review Focus Group is established by the Board of Directors to assist in evaluating and recommending potential revisions to the Association's governing documents, including the Declaration of Covenants, Articles of Incorporation, Bylaws, and Rules and Regulations.

The Focus Group's immediate priority is to evaluate whether the Declaration of Covenants should be amended to authorize the Association to provide mulch installation and replenishment on private residential lots as an Association-funded service included within the annual assessments. As part of this review, the group will objectively examine the legal authority, financial impact, operational feasibility, equity among homeowners, and long-term implications of such a change. The Focus Group's responsibility is to evaluate the issue impartially and develop recommendations based on the best interests of the Association, rather than to advocate for any predetermined outcome.

If the Focus Group concludes that an amendment is appropriate, it may recommend draft amendment language and any related implementation recommendations for the Board's consideration.

Following completion of this initial assignment, the Focus Group may continue its review of the Association's governing documents to identify additional provisions that may benefit from clarification, modernization, improved consistency, or other revisions that promote effective governance and serve the long-term interests of the Caribbean Village community.

Membership

The Focus Group shall consist of volunteer members of the Association, one member of the Board of Directors serving as the Board liaison, and guidance from the Association's legal counsel as requested by the Board.

Authority

The Focus Group serves solely in an advisory capacity. It has no authority to establish Association policy, interpret the governing documents on behalf of the Association, negotiate legal matters, or bind the Association in any manner. All recommendations shall be submitted to the Board of Directors for review and consideration.

Any proposed amendments to the governing documents shall be considered and approved only through the procedures required by the governing documents and applicable Florida law, including membership approval where required.
